These Terms of Service ("Terms") govern your access to and use of The Due Diligence (the "Platform"), a social platform built for real estate discussion.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

1. Acceptance of Terms

By creating an account, accessing, or using The Due Diligence, you confirm that you have read, understood, and agree to these Terms, as well as our Community Guidelines, Moderation Policy, Disclaimer, Privacy Policy, and Cookie Policy, which are incorporated by reference.

2. Eligibility

You must be at least 18 years old to use the Platform.

By using The Due Diligence, you represent and warrant that:

  • You meet the age requirement
  • You have the legal capacity to enter into these Terms
  • Your use of the Platform complies with applicable laws

3. Nature of the Platform

The Platform:

4. User Accounts

5. User Content

Ownership

You retain ownership of the content you post ("User Content").

License to the Platform

By posting User Content, you grant The Due Diligence a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, display, distribute, and make your content available in connection with operating and improving the Platform.

Responsibility

You are solely responsible for:

  • The content you post
  • The accuracy and legality of your content
  • Any consequences resulting from your content

6. Prohibited Conduct

You agree not to:

  • Violate any law or regulation
  • Post content that violates Community Guidelines
  • Harass, threaten, or abuse others
  • Impersonate any person or entity
  • Engage in fraud, scams, or deceptive behavior
  • Misrepresent credentials or affiliations
  • Scrape, automate, or reverse engineer the Platform
  • Attempt to bypass security or access controls
  • Use the Platform for spam, solicitation, or unauthorized promotion

7. Moderation and Enforcement

The Due Diligence reserves the right to:

  • Remove or restrict content
  • Limit visibility of content
  • Suspend or terminate accounts
  • Take action without prior notice

Moderation decisions are made at our sole discretion and are not subject to guarantee, explanation, or reversal.

8. Messaging and User Interactions

The Platform may allow users to communicate directly.

You acknowledge that:

  • Interactions with other users are at your own risk
  • The Due Diligence is not responsible for user behavior
  • We do not monitor private communications

9. Intellectual Property

All Platform content, excluding User Content, including but not limited to:

  • Branding
  • Logos
  • Design elements
  • Software and code

Are the property of The Due Diligence or its licensors and may not be used without permission.

10. Third-Party Services and Links

The Platform may include links to third-party services.

We are not responsible for:

  • Third-party content
  • External websites
  • Losses resulting from third-party interactions

Use of third-party services is at your own risk.

11. Disclaimer of Warranties

The Platform is provided "as is" and "as available."

The Due Diligence disclaims all warranties, express or implied, including but not limited to:

  • Accuracy of content
  • Platform availability
  • Fitness for a particular purpose

12. Limitation of Liability

To the maximum extent permitted by law, The Due Diligence shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of data, profits, or opportunities
  • Decisions made based on user content
  • User interactions or disputes

Total liability shall not exceed the amount paid by you to use the Platform, if any.

13. Indemnification

You agree to indemnify and hold harmless The Due Diligence, its operators, affiliates, and partners from any claims, damages, losses, or expenses arising from:

  • Your use of the Platform
  • Your User Content
  • Your violation of these Terms

14. Termination

We may suspend or terminate your access at any time, with or without cause or notice.

Upon termination:

  • Your right to use the Platform ceases immediately
  • Certain provisions of these Terms shall survive

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the United States and the State of Nevada, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in courts located in Nevada.

16. Changes to These Terms

We may update these Terms at any time. Continued use of the Platform constitutes acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms constitute the entire agreement between you and The Due Diligence regarding use of the Platform and supersede all prior agreements.

The Due Diligence is a social platform for real estate discussion. We host user-generated content but do not provide advice, guarantees, or endorsements. Use of the Platform is at your own risk, and compliance with these Terms is required.
